Item 1.02

Termination of a Material Definitive Agreement

On June 5, 2017, Spark Networks, Inc. (the “Company”) terminated its loan and security agreement represented by the Credit Agreement dated as of January 22, 2016 with Western Alliance Bank, as lender. In connection with the termination of the loan and security agreement, the Company paid $5,360 in fees.
